REALTECH AG is a stock corporation under German law. The company is governed by the Managing Board and Supervisory Board. REALTECH highly values corporate governance, with the Managing Board and Supervisory Board working in close collaboration for the good of the company. Intensive, ongoing communication between the two boards forms the basis for efficient company management. We have progressively intensified this communication and worked to improve it taking into account national and international standards.
REALTECH welcomes the German Corporate Governance Code, as published by the Government Commission, under the chairmanship of Dr. Gerhard Cromme, on February 26, 2002 and amended most recently on May 26, 2010. This has led to the creation of an assessment catalog for good corporate governance. REALTECH does not intend to create a corporate governance code of its own as there are no industry-specific or company-related requirements that make this necessary. The Executive Board and Supervisory Board submitted the first compliance declaration on November 14, 2002, the second on September 10, 2003, the third on November 25, 2004, the fourth on November 25, 2005, the fifth on November 30, 2006, the sixth on December 11, 2007, the seventh on November 27, 2008, the eighth on December 09, 2009 and the ninth on December 14, 2010 based on the recommendations of the Government Commission on the German Corporate Governance Code in accordance with Article 161 of the German Stock Corporation Act:
